These Terms of Service (“Terms”) govern your access to and use of ProdCentral’s websites, mobile applications, software, and related services (collectively, the “Services”).

By creating an account, accessing, purchasing, or using the Services, you agree to these Terms. If you use ProdCentral on behalf of an organization, you represent that you have authority to use the Services on behalf of that organization and, where applicable, to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

1. The ProdCentral Service

ProdCentral provides inventory, asset management, equipment tracking, maintenance, event, document, checkout, organizational, and related operational tools.

Features may vary by subscription plan, platform, organization configuration, geographic region, or product version.

We may add, modify, improve, replace, or discontinue features as ProdCentral develops, subject to applicable law and our obligations to paying customers.

2. Accounts

Certain features require a ProdCentral account.

You agree to provide accurate information and maintain the security of your account.

You are responsible for activity performed through your account to the extent permitted by law. You must not share credentials in a manner that circumvents account, user, or subscription limitations.

You must promptly notify ProdCentral if you believe your account has been accessed without authorization.

ProdCentral may use third-party authentication providers to securely authenticate users.

3. Organizations and Administrators

ProdCentral accounts may belong to or participate in an organization.

An organization may include administrators, directors, technicians, volunteers, employees, contractors, or other authorized users.

Organization administrators may have authority to:

  • Invite or remove users

  • Assign roles and permissions

  • Assign departments or campus access

  • Manage organizational settings

  • Manage inventory and other organizational records

  • Manage files and documents

  • Manage subscriptions

  • Access information associated with the organization

If you join an organization, you acknowledge that authorized administrators of that organization may control your access to organizational data.

When a user’s relationship with an organization ends, the organization may retain organizational records created or modified by that user, subject to applicable law and our Privacy Policy.

4. Customer Data and Ownership

As between ProdCentral and the customer, customers retain ownership of the information and content they submit to ProdCentral (“Customer Data”).

Customer Data may include:

  • Inventory records

  • Asset information

  • Photos

  • Documents

  • Show and configuration files

  • Maintenance information

  • Events

  • Checkouts

  • Notes

  • Locations

  • Custom fields

  • Other organization-created content

You grant ProdCentral a limited, non-exclusive license to host, store, process, transmit, reproduce, and otherwise use Customer Data only as reasonably necessary to provide, secure, maintain, support, and improve the Services and as otherwise described in our Privacy Policy.

ProdCentral does not acquire ownership of Customer Data merely because it is uploaded to the Services.

5. Your Responsibility for Uploaded Content

You are responsible for Customer Data and files uploaded through your account or organization.

You represent that you have the rights and permissions necessary to upload, store, use, and share that content through ProdCentral.

You may not knowingly upload or use the Services to distribute content that:

  • Violates applicable law

  • Infringes intellectual property rights

  • Contains unlawful or malicious material

  • Is intended to damage or compromise systems

  • Violates the rights of another person or organization

ProdCentral may restrict or remove content when reasonably necessary to protect the Services, comply with law, enforce these Terms, or address security risks.

6. Equipment and Inventory Records

ProdCentral provides tools to help organizations track equipment, inventory, maintenance, checkouts, locations, events, and related operational information.

ProdCentral does not independently verify the accuracy, condition, ownership, safety, maintenance status, location, or availability of equipment entered into the Services.

Users and organizations remain responsible for verifying important operational information before relying upon it.

ProdCentral is not a substitute for manufacturer instructions, qualified inspection, safety procedures, regulatory requirements, or professional judgment where those are appropriate.

7. Documents, Show Files, and Configuration Files

ProdCentral may permit users to upload and store documents, equipment configuration files, console show files, presets, spreadsheets, images, archives, and other supported files.

ProdCentral generally stores proprietary files as user-provided data and does not guarantee compatibility with third-party hardware or software.

You are responsible for maintaining appropriate independent backups of mission-critical files and information.

ProdCentral should not be used as the sole backup location for irreplaceable production, configuration, financial, legal, safety, or business-critical information.

8. Third-Party Services and Integrations

ProdCentral may integrate with or provide access to third-party products and services.

Examples may include authentication providers, payment processors, cloud-storage providers, productivity services, analytics services, email providers, or other platforms.

Your use of a third-party service may also be governed by that provider’s terms and privacy policies.

ProdCentral is not responsible for changes, interruptions, data loss, account restrictions, or other actions caused by third-party services outside ProdCentral’s reasonable control.

Authorization to a third-party integration may generally be revoked through the applicable provider or through ProdCentral where supported.

9. Subscription Plans

ProdCentral may offer free and paid subscription plans.

Different plans may include different limits or features, including limits relating to:

  • Assets

  • Campuses

  • Buildings

  • Users

  • Volunteers

  • Storage

  • History

  • Reports

  • Features

  • Support

  • Other service capabilities

Current plan features and limits are presented at the time of purchase or on applicable ProdCentral pricing materials.

We may modify future plan offerings, pricing, limits, or features. Changes affecting an existing paid subscription will be handled in accordance with applicable law and the terms of the platform through which the subscription was purchased.

10. Billing and Automatic Renewal

Paid subscriptions may be offered monthly, annually, or on another disclosed billing interval.

Unless otherwise stated at the time of purchase, subscriptions automatically renew until canceled.

The applicable price, subscription duration, renewal terms, and included services will be disclosed before purchase.

If you purchase a subscription through Apple’s App Store, payment and renewal are processed through your Apple Account and are subject to Apple’s applicable payment and subscription terms.

Subscriptions purchased through another authorized payment method may be processed by that payment provider.

Cancellation prevents future renewal but does not ordinarily terminate access for the remainder of a period that has already been paid for, except where otherwise required by law or applicable platform rules.

11. App Store Purchases

If you obtain ProdCentral through Apple’s App Store, your use of the iOS application is also subject to Apple’s applicable terms, including Apple’s Licensed Application End User License Agreement where applicable.

Apple, rather than ProdCentral, administers App Store payment processing, subscription management, and applicable App Store refund mechanisms.

Deleting your ProdCentral account does not necessarily cancel an Apple-managed subscription. Users with an active App Store subscription should manage or cancel that subscription through their Apple Account.

12. Trials and Promotional Offers

ProdCentral may offer trials, discounts, promotional pricing, or other offers.

Eligibility and terms may vary.

If a trial converts to a paid subscription, the duration of the trial and the price that will apply afterward will be disclosed before the subscription begins.

Unless otherwise stated, promotional offers may be changed or withdrawn for future customers at any time.

13. Taxes

Prices may not include applicable taxes unless stated otherwise.

You are responsible for applicable taxes, duties, or similar governmental charges associated with your purchase except for taxes imposed on ProdCentral’s income.

Payment platforms may calculate and collect taxes where required.

14. Cancellation and Refunds

You may cancel a subscription using the method provided by the platform through which you purchased it.

For purchases made through Apple’s App Store, cancellation and refund requests are handled through Apple’s applicable systems and policies.

For purchases made directly from ProdCentral, refund eligibility will be determined according to the terms disclosed at purchase and applicable law.

Except where required by law or expressly stated otherwise, payments already made are generally non-refundable.

15. Account Deletion

ProdCentral provides a process for requesting or initiating account deletion.

Deleting an individual user account does not necessarily delete organizational records that belong to an organization rather than the individual user.

For example, equipment history, maintenance records, checkout history, event records, audit information, or other business records may remain with the organization when reasonably necessary and permitted by law.

Certain information may also be retained when required by law, necessary for security or fraud prevention, or otherwise described in our Privacy Policy.

Deleting an account does not automatically cancel subscriptions managed by a third-party platform such as Apple’s App Store.

16. Acceptable Use

You may not:

  • Attempt to gain unauthorized access to another account or organization

  • Circumvent roles, campus restrictions, subscription limits, or security controls

  • Probe or exploit vulnerabilities without authorization

  • Interfere with the normal operation of the Services

  • Introduce malware or malicious code

  • Use automated systems in a manner that materially harms or overloads the Services

  • Reverse engineer the Services except where applicable law expressly permits it

  • Use ProdCentral to violate applicable law

  • Misrepresent your authorization to access an organization’s data

  • Resell access to the Services unless authorized by ProdCentral

Reasonable API or integration use expressly supported by ProdCentral is not prohibited by this section.

17. Intellectual Property

ProdCentral and its licensors retain all rights in the Services other than Customer Data.

This includes, as applicable:

  • Software

  • Application design

  • Branding

  • Logos

  • User-interface elements

  • Documentation

  • Website content

  • Proprietary technology

These Terms do not transfer ownership of ProdCentral’s intellectual property to you.

“ProdCentral” and associated branding may not be used in a manner that suggests sponsorship or endorsement without permission.

18. Feedback

If you voluntarily provide suggestions, ideas, feature requests, or other feedback about ProdCentral, you grant us permission to use that feedback to develop and improve the Services without restriction or compensation to you.

This does not give ProdCentral ownership of Customer Data.

19. Service Availability

We work to provide reliable access to ProdCentral but do not guarantee that the Services will always be uninterrupted, error-free, or available.

Service interruptions may occur because of:

  • Maintenance

  • Software updates

  • Infrastructure failures

  • Internet or network failures

  • Third-party provider outages

  • Security incidents

  • Events outside our reasonable control

We may perform maintenance or make changes when reasonably necessary to maintain the security and reliability of the Services.

20. Beta and Pre-Release Features

ProdCentral may make beta, experimental, or pre-release features available.

Such features may be incomplete, change without notice, contain errors, or be discontinued.

You should not rely on beta features for mission-critical operations unless ProdCentral expressly states otherwise.

21. Suspension and Termination

We may suspend or terminate access to ProdCentral when reasonably necessary because of:

  • Material violation of these Terms

  • Fraudulent activity

  • Security threats

  • Unlawful activity

  • Abuse of the Services

  • Failure to pay applicable fees

  • Actions that create material risk to ProdCentral or other users

Where reasonable, we may provide notice and an opportunity to correct the issue before termination.

You may stop using ProdCentral at any time and may cancel your subscription according to the applicable cancellation process.

22. Data Following Termination

Following termination or expiration of an organization’s subscription, access to some or all Customer Data may become limited.

Where supported, ProdCentral may provide a reasonable opportunity to retrieve Customer Data following termination.

We are not obligated to retain Customer Data indefinitely after an account or subscription has ended.

Organizations are responsible for maintaining appropriate independent backups of important information.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PRODCENTRAL DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODCENTRAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODCENTRAL’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT PAID TO PRODCENTRAL FOR THE SERVICES BY THE APPLICABLE CUSTOMER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations do not apply where liability cannot legally be limited.

25. Indemnification

To the extent permitted by applicable law, if you use ProdCentral on behalf of a business or organization, that organization agrees to defend, indemnify, and hold harmless ProdCentral and its officers, employees, contractors, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:

  • Customer Data supplied by the organization

  • The organization’s unlawful use of the Services

  • The organization’s material violation of these Terms

  • The organization’s infringement of third-party rights

This obligation does not apply to the extent a claim results from ProdCentral’s own unlawful conduct or breach of these Terms.

26. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Nothing in these Terms deprives consumers of protections they are entitled to under applicable law.

27. Changes to These Terms

We may update these Terms as ProdCentral develops or as legal, regulatory, or operational requirements change.

When changes are made, we will update the “Last Updated” date.

If a change materially affects users’ rights or obligations, we may provide additional notice or request acceptance where appropriate or required by law.

Continued use of the Services after updated Terms become effective constitutes acceptance where permitted by law.

28. Entire Agreement

These Terms, together with the ProdCentral Privacy Policy, applicable subscription terms, and any additional agreement expressly entered into between ProdCentral and a customer, constitute the agreement governing use of the Services.

If an organization enters into a separately executed written agreement with ProdCentral and that agreement conflicts with these Terms, the separately executed agreement controls to the extent of the conflict.
